Terms of Service

1) Defined Terms

"Company", "we", "us", and "Local Quotes" mean Local Quotes LLC. "Services" means our web development, hosting, design, and support services. "You" or "Customer" means the person or entity using the Services.

2) Eligibility & Account

You must be at least 13 (or older if required by your jurisdiction) and legally able to contract. Account owners are responsible for all activity, security of credentials, and keeping billing/contact information accurate.

3) Orders; Provisioning; Fair Use

Orders are offers to buy Services and are accepted when we provision or charge you. We may refuse, limit, or cancel orders (e.g., fraud risk, AUP red flags). Resources are allocated on a fair-use basis within plan limits; abusive or sustained saturation (CPU, RAM, disk, network, I/O) may be throttled, sandboxed, or suspended per the AUP.

4) Service Description & Third-Party Terms

Our Services include access to a control panel (e.g., Pterodactyl), network, and compute/storage in shared environments. You must comply with applicable third-party terms (e.g., Mojang/Microsoft, Valve, Rockstar) and obtain any required licenses/keys for game servers, mods, or plugins.

5) SLA; Maintenance; Credits

We target 99.9% monthly uptime for core infrastructure. Scheduled maintenance and emergencies may occur. If monthly uptime falls below 99.9% (excluding force majeure, attacks, your configuration, or AUP breaches), you may request bill credits within 15 days after the month ends:

• 99.0%–99.9%: 5% of monthly fee
• 95.0%–99.0%: 10% of monthly fee
• <95.0%: 25% of monthly fee

Credits are your sole remedy for downtime and cannot exceed that month’s fee for the affected service.

6) Trials; Refunds

Trials (if any) are as posted. All sales are final once a service is provisioned (including auto-renewals), except where required by law or if explicitly stated otherwise in writing. Chargebacks or payment disputes may result in immediate suspension and a fee to cover investigation and processor costs.

7) Billing; Taxes; Auto-Renewal

Plans bill in advance and auto-renew until canceled. You authorize us (and our processors) to charge all due amounts, including taxes and regulatory fees. Unpaid amounts may accrue late fees/interest as permitted by law and may result in suspension or termination after notice.

8) Cancellations & Data Handling

You may cancel at any time within the panel/billing portal; cancellations take effect at the end of the current term. Upon termination, we may delete your data, configurations, backups, and images after a commercially reasonable period (typically 7–14 days). You are responsible for your own backups unless you purchase a backup add-on.

9) Acceptable Use

Your use must comply with our Acceptable Use Policy. Prohibited activities include abuse, spam, malware, unauthorized access, IP infringement, illegal content, and resource exhaustion. We may investigate and mitigate abuse and cooperate with law enforcement.

10) Security; Backups

We implement administrative, technical, and physical safeguards appropriate to our role as a hosting provider. No system is 100% secure. You are responsible for secure configuration of your servers, strong credentials, updates, and backups unless you buy a managed plan.

11) Content; Ownership; License

You retain ownership of your content. You grant us a limited, non-exclusive license to host, transmit, cache, and display your content solely to provide the Services. You must have all rights and permissions necessary for any content you run or upload.

12) IP; Trademarks; DMCA

We own our IP, logos, and platform. We respect intellectual property and respond to notices under 17 U.S.C. §512. Send DMCA notices/counter-notices to dmca@local-quotes.com (or the address posted on our website). We may remove content or disable access per DMCA.

13) Privacy; Data Processing

Our Privacy Policy explains how we collect and use personal data. Where we process Customer Personal Data as a processor, our Data Processing Addendum (DPA) and SCCs (if applicable) are incorporated by reference and available on request.

14) Disclaimers

Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free service.

15) Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits/revenue, data loss, or business interruption. Our aggregate liability for all claims in any 12-month period is limited to the amounts you paid to us for the affected service in that period or US $100, whichever is greater.

16) Indemnification

You will defend, indemnify, and hold harmless Local Quotes, its affiliates, and personnel from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your content, use of the Services, or breach of these Terms or the AUP.

17) Suspension & Termination

We may suspend or terminate immediately for AUP breaches, legal risk, non-payment, fraud, or threats to platform stability/security. We will notify you where feasible.

18) Force Majeure

Neither party is liable for delays or failure due to events beyond reasonable control, including DDoS, power/network failures, acts of God, labor disputes, or governmental actions.

19) Governing Law; Arbitration; Class Waiver

Texas law governs these Terms, without regard to conflicts rules. Binding arbitration: Any dispute will be resolved by confidential, final, and binding arbitration administered by the American Arbitration Association in Harris County, Texas, under its Commercial Rules. Either party may seek injunctive relief in court for IP/security abuses. No class or representative actions; disputes are heard individually. You may opt out of this arbitration clause within 30 days of account creation by emailing legal@local-quotes.com.

20) Changes to Terms

We may update these Terms by posting a new version with a “Last updated” date. Material changes will be notified via the panel or email. Continued use after changes means acceptance.

21) Miscellaneous

• Assignment: You may not assign without our consent; we may assign to an affiliate or in a restructure/sale.
• Severability: If any part is invalid, the rest remains effective.
• Entire Agreement: These Terms, AUP, Privacy, order forms, and policies are the entire agreement.
• Notices: Via the panel, email, or posted on our site.
